Card Provider Terms

1. Introduction

These Card Provider Terms (“Card Terms”) govern the issuance, activation, funding, use, and termination of virtual payment cards (“Cards”) provided through the Fyatu platform. These Card Terms supplement the Fyatu Terms of Service and form part of your agreement with us.

By requesting, activating, or using a Card, you confirm that you have read, understood, and agree to be bound by these Card Terms in addition to the Terms of Service, Privacy Policy, and AML Policy.

2. Card Issuer

Cards are issued by licensed financial institutions (“BIN Sponsors”) authorized by Visa and/or Mastercard to issue payment cards. Fyatu acts as the program manager facilitating Card issuance, funding, and management on behalf of the BIN Sponsor. The BIN Sponsor is the legal issuer of the Card and is subject to the rules and regulations of the applicable card network.

3. Eligibility

To request a Card, you must:

• Hold an active, verified Fyatu Account (individual or business)
• Have completed all required KYC verification
• Be in good standing with no Account restrictions or suspensions
• Agree to these Card Terms

Fyatu reserves the right to decline a Card request at its sole discretion without providing a reason.

4. Card Types and Features

Virtual Cards

Virtual Cards are digital payment cards with a card number, expiry date, and CVV. They can be used for online transactions and, depending on the card type, point-of-sale (POS) transactions.

Tokenized Cards

Certain Cards may be added to digital wallets (Apple Pay, Google Pay) for contactless payments at supported merchants and terminals.

Card Networks

Cards are issued on the Visa and/or Mastercard networks. The available network depends on the card type selected during creation.

Card Currency

Cards are denominated in USD or EUR. The denomination currency is selected at the time of card creation and cannot be changed after issuance.

5. Card Creation

• You may create Cards through the Fyatu mobile application or web platform.
• There is no limit on the number of Cards you may hold on your Account.
• All Cards are reusable and remain active until expiry, cancellation, or termination.
• A card creation fee applies and varies based on the card type and your account type (individual or business). The applicable fee is displayed before you confirm card creation.
• By confirming card creation, you authorize Fyatu to deduct the creation fee from your Wallet balance.

6. Card Funding

• Cards are funded exclusively from your Fyatu Wallet balance.
• The minimum top-up amount is $5.00 (or equivalent in EUR).
• The maximum top-up amount is limited to your available Wallet balance.
• There is no maximum Card balance limit.
• Top-ups are processed instantly and reflected on your Card balance immediately.
• You may top up your Card at any time while the Card is active and your Account is in good standing.

7. Spending Limits

Spending limits vary by card type and may include:

• Daily limits — Ranging from $5,000 to $25,000, with certain card types having no daily limit
• Monthly limits — Ranging from $5,000 to $10,000, depending on the card type
• Flexible limits — Certain card types allow user-configurable spending limits within the parameters set by the card program

Applicable limits are displayed on your Card details page. Fyatu and the BIN Sponsor reserve the right to adjust spending limits at any time for risk management or regulatory compliance purposes.

8. Card Usage

Permitted Use

• Online purchases at merchants that accept Visa or Mastercard (depending on your Card network)
• Point-of-sale (POS) transactions where supported by the card type
• Contactless payments via Apple Pay or Google Pay (for tokenized Cards)
• Subscription payments and recurring billing

Restrictions

• ATM cash withdrawals are not supported
• Cards may not be used for transactions prohibited under the Fyatu Terms of Service
• Cards may not be used for illegal activities, sanctions-restricted transactions, or purchases listed in the Prohibited Goods and Services appendix of the Terms of Service
• Fyatu may decline transactions that exceed your Card balance, spending limits, or that are flagged by our fraud detection systems

3D Secure (3DS)

Certain Cards support 3D Secure authentication for online transactions. When supported, you will be prompted to verify your identity during checkout via the Fyatu app or a one-time verification code. 3DS availability depends on the card type and merchant support.

9. Currency and Foreign Exchange

• Transactions in your Card’s denomination currency (USD or EUR) are processed at face value.
• Transactions in a currency different from your Card’s denomination currency are converted using the official card network exchange rate (Visa or Mastercard rate) applicable at the time of settlement.
• A foreign exchange markup of up to 1% may apply to cross-currency transactions. The applicable markup is disclosed on your Card details page.
• Exchange rates fluctuate and may differ between the time of authorization and settlement. You are responsible for any difference resulting from rate changes.

10. Fees

All fees are deducted from your Card balance or Wallet balance. You are responsible for ensuring sufficient funds to cover applicable fees. Fyatu reserves the right to modify fees with 30 days’ prior notice.

11. Card Validity and Renewal

• Card validity periods are 1 year, 3 years, or 5 years, depending on the card type selected at creation.
• The expiry date is displayed on your Card details page and on the virtual card itself.
• Cards are not automatically renewed. Upon expiry, you must create a new Card if you wish to continue using card services.
• Any remaining balance on an expired Card is automatically refunded to your Fyatu Wallet.

12. Card Suspension and Cancellation

By You

• You may freeze (temporarily suspend) or unfreeze your Card at any time through the Fyatu app or web platform.
• While frozen, all transactions on the Card will be declined. Pending authorizations may still be settled.
• You may cancel your Card at any time. Cancellation is permanent and cannot be reversed.

By Fyatu

Fyatu may suspend or cancel your Card without prior notice if:

• Suspicious or fraudulent activity is detected on your Card
• You breach these Card Terms or the Terms of Service
• Your Account is suspended, restricted, or terminated
• Required by the BIN Sponsor, card network, or regulatory authority
• Your Card has been inactive for an extended period with insufficient balance to cover maintenance fees

13. Refunds and Chargebacks

Merchant Refunds

• Refunds from merchants are credited back to your Card balance. Processing time depends on the merchant and typically takes 5 to 15 business days.
• If your Card has been cancelled or expired at the time of refund, the amount will be credited to your Fyatu Wallet.

Chargebacks

• If you believe a transaction on your Card is unauthorized or incorrect, you may file a chargeback dispute through Fyatu support.
• A $45.00 chargeback fee applies per dispute filed, deducted from your Wallet balance at the time of filing.
• Chargebacks follow the standard dispute resolution timelines of the applicable card network (Visa or Mastercard).
• Fyatu will investigate the dispute in accordance with the card network rules. The outcome is determined by the card network and is final.
• Filing a chargeback does not guarantee a refund. You may be required to provide supporting documentation.

14. Balance After Termination

• When a Card is cancelled, expired, or terminated, any remaining Card balance is refunded to your Fyatu Wallet.
• If your Fyatu Account is also terminated, the Wallet balance (including refunded Card funds) will be handled in accordance with the Terms of Service.
• Fyatu is not liable for any losses arising from Card termination, including declined transactions or unfulfilled orders.

15. Your Responsibilities

As a Cardholder, you are responsible for:

• Keeping your Card details (card number, CVV, expiry date) confidential and secure
• Not sharing your Card details with unauthorized persons
• Monitoring your Card transactions regularly and reporting unauthorized activity promptly
• Ensuring sufficient Card balance before making purchases
• Using the Card only for lawful transactions in compliance with these Card Terms and the Terms of Service
• Promptly reporting a lost, stolen, or compromised Card by freezing it through the Fyatu app

16. Liability

• You bear full liability for all transactions made using your Card, including unauthorized transactions resulting from your failure to safeguard your Card details.
• Fyatu is not liable for losses caused by merchant refusal to accept your Card, card network outages, technical failures beyond our control, or transactions declined due to insufficient balance or exceeded limits.
• Fyatu is not responsible for the quality, safety, or delivery of goods or services purchased using your Card. Disputes with merchants should be resolved directly with the merchant or through the chargeback process.
• Fyatu’s total liability under these Card Terms shall not exceed the balance on your Card at the time the claim arises.

17. Amendments

Fyatu may amend these Card Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of your Card after the effective date constitutes acceptance of the amended Card Terms. If you do not agree with the changes, you may cancel your Card before the effective date.
